Welcome to Digimanzil. These Terms and Conditions ("Terms") govern your use of our website and the services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By visiting our website, requesting a quote, or signing a project agreement, you acknowledge that you have read, understood, and agree to these Terms and any additional terms specified in your individual service agreement. These Terms constitute a legally binding agreement between you ("Client", "you") and Digimanzil ("Company", "we", "us").

2. Services

Digimanzil provides digital services including but not limited to website design, web development, software development, mobile app development, e-commerce solutions, digital marketing, cloud services, web hosting, IT consulting, and business email services. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate proposal or service agreement signed by both parties.

3. Client Responsibilities

To ensure timely delivery, the Client agrees to:

• Provide accurate and complete information about project requirements
• Deliver all necessary content, images, logos, and branding assets in a timely manner
• Provide access to existing systems, hosting accounts, or third-party services as needed
• Respond to review requests and feedback requests within 5 business days
• Appoint a primary contact person authorized to make decisions on the project
• Ensure all provided materials do not infringe on any third-party intellectual property rights

Delays in Client responsibilities may result in adjusted timelines and additional costs.

4. Project Scope & Change Requests

The project scope is defined in the signed proposal. Any work outside the agreed scope is considered a change request and may incur additional fees. Change requests must be submitted in writing (email or project management tool) and will be evaluated for impact on timeline and cost. Work on change requests begins only after mutual written approval of the revised scope and any associated costs.

5. Payment Terms

Payment terms are specified in your service agreement. Standard terms are:

• 50% deposit due upon project commencement; 50% due upon final delivery
• Monthly retainers are billed in advance on the 1st of each month
• Late payments incur a 1.5% monthly interest charge on outstanding balances
• Project deliverables may be withheld until outstanding payments are settled
• All fees are exclusive of applicable taxes, which are the Client's responsibility

6. Intellectual Property

Upon receipt of full payment, all intellectual property rights for the final deliverables (source code, design files, content) are transferred to the Client. However, Digimanzil retains the right to:

• Display the completed project in our portfolio and marketing materials unless otherwise agreed in writing
• Use pre-existing libraries, frameworks, and tools that are licensed under open-source or commercial licenses
• Retain ownership of any internal tools, utilities, or processes developed during the project that are not specific to the Client's deliverables

7. Confidentiality

Both parties agree to keep confidential all non-public information shared during the course of the project, including business plans, customer data, trade secrets, and technical information. This obligation survives termination of the agreement and remains in effect for 3 years thereafter. We will not use your confidential information for any purpose other than delivering the agreed services.

8. Warranties & Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty period after launch during which we will fix bugs and defects at no charge. This warranty does not cover issues arising from Client modifications, third-party service changes, or content added by the Client after launch. Except as expressly stated, all services are provided "as is" without warranty of any kind.

9. Limitation of Liability

To the maximum extent permitted by law, Digimanzil shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business interruption, arising out of or related to our services. Our total liability for any claim shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

10. Termination

Either party may terminate the agreement with 30 days written notice. Upon termination:

• The Client pays for all work completed up to the termination date
• We deliver all work-in-progress files and assets upon payment
• Monthly retainers are prorated based on the last billing cycle
• Confidentiality and intellectual property clauses survive termination

We reserve the right to terminate services immediately for non-payment, breach of terms, or unlawful use of our services.

11. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India. We reserve the right to seek injunctive relief in any jurisdiction to protect our intellectual property.

12. Changes to Terms

We may update these Terms at any time. Updated Terms will be posted on this page with a new revision date. Your continued use of our services after changes constitutes acceptance of the revised Terms. For existing projects, the Terms in effect at the time of signing the service agreement continue to govern unless both parties agree otherwise.
